# Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AxisAgSupply.com and any related websites, online stores, content, quotations, communications, products, parts, or services provided by Axis Ag, Inc. (“Axis Ag,” “Axis Ag Supply,” “we,” “us,” or “our”).

By accessing the website, submitting an order or request, purchasing a product, requesting a quotation, or otherwise using the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

## 1. General Conditions

We reserve the right to refuse service, cancel transactions, limit quantities, discontinue products or services, restrict access, or modify the Services where permitted by law.

We may update these Terms periodically. Continued use of the Services after updated Terms are posted constitutes acceptance to the extent permitted by applicable law.

Nothing in these Terms limits rights or remedies that cannot legally be limited or waived.

## 2. Business and Agricultural Use

Many products offered by Axis Ag Supply are agricultural, mechanical, electrical, robotic, industrial, replacement, or service-related components intended for use by knowledgeable customers, technicians, growers, equipment operators, businesses, or service professionals.

Customers are responsible for determining whether a product is suitable, compatible, lawful, safe, and appropriate for their intended application.

Product purchase does not constitute engineering, agronomic, mechanical, electrical, safety, regulatory, or other professional advice.

## 3. Product Compatibility and Fitment

Customers are responsible for verifying product numbers, specifications, dimensions, compatibility, application, equipment configuration, model year, revision, installation requirements, and other relevant information before ordering or installing a product.

Compatibility may vary between equipment revisions, configurations, manufacturers, production years, modifications, or field conditions.

Unless expressly confirmed by Axis Ag in writing for a specific transaction, descriptions such as “compatible,” “replacement,” “fits,” or references to particular equipment should not be interpreted as a guarantee that a product will be suitable for every configuration or application.

Customers should contact Axis Ag before purchasing if compatibility is uncertain.

## 4. Product Information

We attempt to provide accurate product descriptions, photographs, specifications, pricing, availability information, and other website content.

However, website information may contain typographical errors, outdated information, technical inaccuracies, omissions, manufacturer changes, or differences from the product actually supplied.

Photographs and renderings may be illustrative and may not perfectly represent product dimensions, color, configuration, revision, included accessories, or appearance.

Manufacturer specifications and product designs may change without notice.

To the fullest extent permitted by law, Axis Ag does not guarantee that website descriptions, images, specifications, pricing, inventory information, or other content will always be complete, current, or error-free.

## 5. Pricing and Quotations

Prices are subject to change without notice unless otherwise stated in a valid written quotation or agreement.

A displayed price, including an incorrect, outdated, incomplete, or mistaken price, does not obligate Axis Ag to sell a product at that price where correction is permitted by law.

Certain products may display “Request Pricing,” require a quotation, or require confirmation of specifications before a final price is provided.

Quotations may contain expiration dates, availability conditions, shipping exclusions, taxes, lead times, or other terms.

Unless expressly stated otherwise, quotations are invitations to place an order and do not guarantee product availability.

## 6. Orders and Acceptance

Submitting an order does not necessarily constitute acceptance by Axis Ag.

We may verify order information, inventory, pricing, payment, shipping requirements, product compatibility, suspected fraud, or other relevant details before accepting or fulfilling an order.

We reserve the right, where permitted by law, to reject or cancel an order before fulfillment, including due to pricing errors, inventory errors, unavailable products, suspected fraud, payment problems, shipping restrictions, or technical errors.

If we cancel a paid order before fulfillment, amounts paid for the canceled portion will generally be refunded using an appropriate payment method.

## 7. Payment

You agree to provide current, complete, and accurate billing, payment, shipping, and account information.

You represent that you are authorized to use the payment method provided.

You are responsible for applicable taxes, shipping charges, duties, fees, and other charges disclosed in connection with the transaction.

## 8. Shipping and Delivery

Shipping dates, delivery dates, transit times, and availability estimates are estimates unless Axis Ag expressly agrees otherwise in writing.

Axis Ag is not responsible for delays caused by carriers, manufacturers, suppliers, customs, weather, labor interruptions, transportation disruptions, shortages, natural events, government actions, or other circumstances outside our reasonable control.

Customers should not schedule labor, equipment downtime, planting, harvesting, service appointments, transportation, or other activities based solely on an estimated delivery date unless they are prepared for possible delays.

Any transfer of title or risk of loss will be governed by applicable law and any specific shipping terms applicable to the transaction.

## 9. Inspection

Customers should inspect products promptly after delivery.

Visible shipping damage, shortages, incorrect shipments, or other apparent issues should be reported as soon as reasonably possible so that Axis Ag can evaluate the issue and, when applicable, coordinate with the carrier, manufacturer, supplier, or customer.

Failure to promptly report an issue may affect the availability of certain carrier claims or other remedies where permitted by law.

## 10. Installation, Operation, and Maintenance

Products must be installed, maintained, configured, and operated appropriately for the equipment and application involved.

Where specialized knowledge is required, installation or service should be performed by an appropriately qualified person.

Customers are responsible for following applicable manufacturer documentation, equipment requirements, safety instructions, maintenance requirements, laws, and regulations.

Modifying equipment, using incorrect components, improper installation, misuse, inadequate maintenance, or operating equipment outside its intended specifications may result in equipment failure, loss, or other consequences.

Axis Ag is not responsible for damage caused by improper installation, unauthorized modification, misuse, abuse, neglect, improper maintenance, incompatible equipment, customer-supplied information, third-party service, or operation contrary to manufacturer requirements, except to the extent responsibility cannot legally be excluded.

## 11. Agricultural Results

Agricultural performance depends on numerous conditions outside Axis Ag's control, including weather, soil, crop condition, field conditions, operator decisions, equipment setup, calibration, maintenance, application method, chemical or input selection, timing, environmental conditions, and third-party equipment.

Accordingly, unless expressly agreed in a separate written contract, Axis Ag does not guarantee any particular crop yield, crop quality, operating efficiency, acreage rate, labor savings, profitability, return on investment, weed control result, application result, uptime level, or agricultural outcome.

## 12. Third-Party and Manufacturer Products

Many products sold or serviced through Axis Ag may be manufactured, developed, supplied, or warranted by third parties.

Names, trademarks, specifications, and product references belonging to third parties remain the property of their respective owners.

Third-party manufacturer warranties, if any, are governed by the manufacturer's warranty terms.

Axis Ag does not control independent manufacturers and is not responsible for manufacturer design changes, discontinued products, manufacturing defects, software changes, manufacturer support policies, or warranty decisions except to the extent Axis Ag has expressly assumed responsibility or applicable law requires otherwise.

## 13. Warranties and Disclaimer

Any express warranty provided by Axis Ag for a particular product or service will be governed by the written terms accompanying that warranty.

Except for warranties expressly provided in writing by Axis Ag and except where prohibited by law, the Services, website content, and products are provided on an “as available” and, where legally permissible, “as is” basis.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AXIS AG DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.

Some jurisdictions do not permit certain warranty limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

## 14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AXIS AG, ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES, PRODUCTS, WEBSITE, OR A TRANSACTION.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, BUSINESS INTERRUPTION, LOSS OF PRODUCTION, EQUIPMENT DOWNTIME, LOSS OF USE, LOST DATA, SUBSTITUTE EQUIPMENT COSTS, LABOR COSTS, MISSED PLANTING OR HARVEST WINDOWS, CROP LOSS, LOSS OF YIELD, LOSS OF AGRICULTURAL OUTPUT, OR OTHER COMMERCIAL OR ECONOMIC LOSSES.

TO THE FULLEST EXTENT PERMITTED BY LAW, AXIS AG'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT, SERVICE, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO AXIS AG FOR THE PRODUCT OR SERVICE DIRECTLY GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that applicable law does not permit a party to exclude or limit.

## 15. No Reliance on Website Content as Professional Advice

Information on the Services is provided for general product, commercial, and informational purposes.

Website content, product descriptions, compatibility information, articles, videos, photographs, diagrams, marketing materials, communications, or other materials should not be considered a substitute for professional engineering, mechanical, agronomic, electrical, legal, safety, regulatory, or other specialized advice where such advice is required.

You remain responsible for evaluating information and determining whether a product, service, procedure, or application is appropriate for your circumstances.

## 16. Returns and Refunds

Returns and refunds are governed by Axis Ag Supply's then-current Refund Policy and any specific terms applicable to the relevant product, quotation, manufacturer, custom order, special order, or service.

Certain custom, special-order, configured, electrical, electronic, opened, installed, used, discontinued, or manufacturer-restricted items may have different return conditions where permitted by law.

## 17. Intellectual Property

The Axis Ag name, Axis Ag Supply name, website design, original graphics, photographs, product renderings, text, logos, videos, marketing materials, and other original content owned by Axis Ag are protected by applicable intellectual-property laws.

Nothing in these Terms grants permission to copy, reproduce, distribute, modify, publish, commercially exploit, or create derivative works from Axis Ag-owned content except with written authorization or as otherwise allowed by law.

Third-party trademarks and content belong to their respective owners.

## 18. Prohibited Use

You may not misuse the Services, interfere with website security, attempt unauthorized access, transmit malicious code, use automated systems in a manner that materially interferes with the Services, impersonate another person, provide fraudulent information, violate applicable laws, infringe intellectual-property rights, or use the Services for unlawful purposes.

We may restrict access when we reasonably believe the Services are being misused.

The Services may contain links or integrations involving third-party websites, manufacturers, platforms, payment processors, shipping providers, or other services.

Axis Ag does not control independent third parties and does not guarantee their availability, content, security, accuracy, products, services, terms, or privacy practices.

Use of third-party services is at your discretion and may be subject to separate terms.

## 20. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Axis Ag and its affiliates, officers, directors, employees, representatives, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful misuse of the Services, violation of these Terms, violation of another person's rights, unauthorized modification or misuse of products, or use of products contrary to applicable instructions or law.

This provision does not require indemnification for matters that applicable law prohibits Axis Ag from shifting to another party.

## 21. Force Majeure

Axis Ag will not be responsible for delay or failure in performance resulting from circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, governmental action, transportation interruptions, labor disputes, telecommunications outages, cyber incidents affecting third parties, supplier or manufacturer disruptions, shortages, epidemics, pandemics, utility failures, or similar events.

## 22. Governing Law

Except where applicable law requires otherwise, these Terms and disputes arising from them will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

To the extent legally permissible, disputes not otherwise resolved between the parties shall be brought in a court of competent jurisdiction located in Arizona.

Nothing in this provision eliminates any venue, jurisdiction, or consumer protection right that applicable law does not permit a party to waive.

## 23. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

## 24. No Waiver

Failure by Axis Ag to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

## 25. Entire Agreement

These Terms, together with policies, quotations, invoices, purchase terms, warranty terms, service agreements, and other terms expressly incorporated into a transaction, constitute the applicable agreement regarding use of the Services.

If a separately signed written agreement between Axis Ag and a customer conflicts with these Terms, the signed agreement will control to the extent of that conflict.
